BILLING TERMS
These billing terms constitute your billing agreement with our credit card processor. MovieNetworks.com utilizes the MediaPipe Download Manager for the delivery of its content. MovieNetworks is the entity that is promoting the 30-Day Free Trial Offer. When you click the 'Submit’ button, it constitutes your acceptance of these billing terms. These terms shall govern all billing issues and any other terms detailed herein. 1. Download Manager Fee In order to take advantage of the MovieNetworks 30-Day Free Trial you must complete at least two affiliate partner offers within 24 hours of your acceptance of this offer. Trial participants who accept two affiliate partner offers may cancel anytime during the first 30 days of trial period and will not be billed. If you do not complete two offers and cancel within the trial period your credit card will be charged $81.36 for an annual software license to the MediaPipe Download Manager. This charge will automatically renew on an annual basis until cancelled. Please note that if you do NOT accept two affiliate partner offers, or do NOT cancel within the Free Trial period, your credit card will be billed $81.36 at the end of the Free Trial and you will receive a one-year software license for the MediaPipe Download Manager. This charge will automatically renew on an annual basis until cancelled. Furthermore, in certain circumstances our credit card processor may divide your license-fee payment into two consecutive monthly charges of $40.68, for a total cost of $81.36. Offers Completion of Offers a. MovieNetworks may, at its discretion, offer its services, via third-party company websites, webpages and through networks not owned and/or controlled by MovieNetworks. Accordingly, users hereby understand and acknowledge that if they have completed an affiliate promotional offer via any third-party network, they will NOT receive credit again for the same affiliate promotional offer completed via MovieNetworks own website. Users will only receive credit for completions of offers signed-up for the first time, regardless of the source of the offer. b. Users must follow the ENTIRE offer sign-up process in order to fully and properly complete signing-up for an offer. Various programs such as pop-up blockers or similar programs may preclude or hinder this process, and user is solely responsible for removing or disabling such programs so that he/she may complete the sign-up process properly. The user must complete the offer by clicking on the offer from MovieNetworks’ website or MovieNetworks’ promotional materials and nowhere else (including any of our affiliates, competitors, or the offer provider's website). Users must click the offer link via our page in order for us to correctly track and credit for a user's offer completion. c. order to receive proper credit for completing an offer, a user must make sure that his or her browser settings are set to accept all Cookies and that they click our exact offer link to get to the offer. Failure to be Credited for an Offer a. MovieNetworks does not guarantee that a user will receive credit for an offer. We reserve the right to refuse crediting a user, even after sign-up is completed, for any reason, within our discretion, including, but not limited to, lack of appropriate information, improper sign-up method, improper browser settings, and/or a history of manual credits. Manual credits are offers that are credited through emailing confirmation of completion. b. We are not responsible for delays in reporting offer completion or failure to receive offer credit. The time it takes to receive credit varies greatly. c. The user is responsible for saving all of the confirmation emails they receive associated with offer completion. We will not manually credit a user for an offer without receiving a confirmation email from the user. A confirmation email is an email that a user receives from an offer provider after their offer requirements have been fully satisfied. However, presenting a confirmation email does not guarantee that a user will receive credit. d. If a user believes that they have fully completed an offer and yet, has not been credited, the user should once again make sure that they have in fact met all of the requirements stipulated by the offer provider and should verify that he or she has waited the appropriate amount of time for offer completion to be reported back to this website (this amount of time varies per offer). If the user confirms that they have performed all of the necessary actions, and have waited a sufficiently appropriate period of time, he or she should contact us via our customer service form on our website. The user should note, however, that MovieNetworks reserves the right to deny credit for an offer. Terms of Offers a. MovieNetworks is not responsible for the terms and conditions of any of the affiliated websites or partner offers on our website. We are not responsible for any ensuing charges or contracts incurred between a user and an offer provider. Users should carefully read the requirements, terms and conditions, and billing information for each third-party affiliated company. b. Any purchase, acceptance of trial offer, download or any such transaction conducted with a third-party affiliate company is done at the user's own risk. We are not responsible for services or products associated with our third-party affiliates. If there you a complaint about services or products received from an affiliate, you should directly contact the offer provider in question. 4. Disclaimer of Liability In no event shall Company and/or MediaPipe be liable for any damages whatsoever, including special, indirect, consequential or incidental damages or damages for loss of profits, revenue, use, or data whether brought in contract or tort, arising out of or connected with products that are purchased or received via Company. Company provides any and all products 'as is', and disclaims all warranties, whether express or implied, including the warranty of a fitness for a particular purpose. 5. General Provisions 5.1 This agreement will be governed by the laws of the state of California, county of Los Angeles, excluding the application of its conflicts of law rules. This agreement will not be governed by the United Nations convention on contracts for the international sale of goods, the application of which is expressly excluded. 5.2 If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of the agreement, which shall remain valid and enforceable according to its terms. 5.3 This agreement constitutes the entire agreement between the parties concerning the subject matter hereof. 5.4 A waiver by either party of any term or condition of this agreement or any breach thereof, in any one instance, shall not waive such term or condition or any subsequent breach thereof. |
